These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "you"), and Muntu Studio LLC ("Company", "Muntu Studio", "we", "us", "our"), concerning your access to and use of the website [muntu-studio.com] as well as all creative services, custom design and development projects, consulting, and subscription products provided by the Company (collectively, the "Services").
By signing a bespoke Muntu Quote/Statement of Work, activating a Muntu Pass subscription, or accessing the Services, you acknowledge that you have read, understood, and explicitly agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using our Services and must discontinue use immediately.
01. Eligibility & Corporate Authority
By accessing our Services or entering into an agreement with Muntu Studio LLC, you represent and warrant that:
You possess the legal capacity and agree to comply with these active Terms.
You are not a minor in the jurisdiction in which you reside.
If you are signing a contract, quote, or subscribing to a service on behalf of a corporate entity, partnership, or third party, you warrant that you possess the explicit legal authority and corporate power to bind said entity to this contractual Agreement.
02. Two Operational Tracks: Custom Projects vs. Subscription Pass
Muntu Studio operates under a hybrid service model. Creative, strategic, and developmental deliverables are executed under one of two distinct operational tracks, depending on the service architecture selected by the Client:
TRACK A: Custom One-Off Projects & Bespoke Quotes
Scope & Specifications: For custom engagements, execution parameters, precise deliverables, delivery timelines, and milestones will be strictly defined in a separate, mutually executed Statement of Work (SOW) or approved Quote (Devis).
Fixed Scope Commitments: Any modification, addition, or expansion of the scope defined in the approved SOW/Quote will be subject to a separate change order and supplementary invoicing. Muntu Studio is only bound to deliver what is explicitly written in the agreed-upon custom project documentation.
TRACK B: The Muntu Pass (Subscription Mode)
One-By-One Execution: While you may queue an unlimited number of requests on your active project board, Muntu Studio will work on and deliver exactly one (1) active request at any given time.
Prioritization Control: Client maintains absolute control over the arrangement and priority order of their request backlog. Once a task is formally marked as "In Progress," it must either be completed or explicitly moved back to the backlog by the Client before execution on a subsequent request can begin.
Target Turnaround Velocity: Standard creative or developmental requests (e.g., a new landing page section, a UI component update, a series of social media assets, or a single mobile screen layout) carry a targeted delivery window of 48 hours maximum from the start of execution. Crucially, the 48-hour execution window shall only commence once the Client has provided a 100% complete, unambiguous project brief, including all required copy, high-resolution assets, design guidelines, and technical specifications. Muntu Studio LLC reserves the right to freeze the turnaround clock if a request is deemed incomplete or pending Client clarification. Massive milestones (e.g., complete multi-page UX architectures or deep end-to-end site builds) will be systematically deconstructed into smaller, daily iterations and delivered incrementally.
03. Financial Terms, Taxes, & Late Payments
Custom Project Payments (Track A): Payments for custom, one-off projects are governed by the terms specified in the approved Quote or SOW. Unless otherwise specified, a non-refundable upfront deposit is strictly required before project kickoff, with final balances due upon completion or predefined milestones.
Late Payment Interest (Track A): Any custom invoice outstanding past its designated due date will automatically accrue late interest at a rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower), compounded monthly, plus all reasonable collection and legal costs incurred by Muntu Studio LLC.
Track A Early Cancellation Terms: If the Client terminates a Custom Project (Track A) prior to completion for convenience or internal operational changes, the Client shall remain strictly and legally liable to pay Muntu Studio LLC for all strategic, creative, and development work executed up to the effective date of termination, calculated on a pro-rata basis of completed milestones or logged production hours ($150/hr), regardless of whether a final deployment has occurred. The initial deposit remains entirely non-refundable.
Subscription Payments (Track B): Subscription passes are billed in advance on the first day of the cycle and will automatically renew through our secure third-party payment processor, Stripe, unless explicitly paused or cancelled by the Client prior to the renewal date.
Immediate Failed Payment Suspension (Track B): In the event that a Stripe renewal charge fails, is declined, or cannot be processed, Muntu Studio LLC reserves the right to instantly suspend all active design and development workflows, lock the project management board, and halt production without notice until a valid payment method is charged successfully. No grace periods apply.
Absolute Non-Refundability: Due to the immediate allocation of dedicated senior design resources, the custom nature of visual engineering, and the high-intensity velocity of the studio, ALL PAYMENTS MADE TO MUNTU STUDIO LLC (DEPOSITS, MILESTONES, AND SUBSCRIPTIONS) ARE 100% NON-REFUNDABLE. There are absolutely no cash returns, partial returns, or pro-rated financial clawbacks for unused subscription windows, active cycles, or halted custom projects once work has commenced.
Tax Responsibility & Net Receivables: All fees quoted by Muntu Studio LLC are exclusive of value-added taxes (VAT), sales taxes, consumption taxes, withholding taxes, or customs duties levied by any national, state, or local authority. The Client is solely responsible for paying all taxes associated with their purchases. If the Client is legally required to withhold any tax from payments due to Muntu Studio LLC, the Client must gross up the payment so that Muntu Studio LLC receives the exact net amount specified in the invoice or subscription tier.
04. Chargeback Abuse & Fraud Penalties
Client explicitly agrees that they will not initiate a chargeback, payment dispute, or reversal request via Stripe, their credit card issuer, or their banking institution for any legitimate fee paid to Muntu Studio LLC.
In the event that a Client maliciously or erroneously files a chargeback dispute, the Client agrees to pay Muntu Studio LLC a flat administrative fee of $250 USD per dispute to cover operational costs, in addition to the full original invoice amount, plus any legal fees, collections fees, or merchant penalty fees incurred by Muntu Studio LLC in resolving or defending the dispute.
05. Asynchronous Workflows & Consolidated Single Authority
To maintain peak production velocity and completely eliminate administrative noise, Muntu Studio operates on a strict asynchronous workflow ecosystem.
Project Tracking Centralization: Project management and feedback loops are centralized within a dedicated Trello board or an authorized workspace provided by the studio. Muntu Studio is fully absolved of any responsibility to track or execute requests communicated outside of authorized collaborative platforms.
Slack Channel Conversations: General day-to-day chat, quick conceptual alignments, or non-production questions will take place entirely within a dedicated, private Slack channel established for the Client.
Impromptu Call Restriction: To fiercely protect deep-focus production hours, Muntu Studio does not accommodate impromptu syncs or unscheduled live meetings.
Consolidated Authority (Anti-Committee Rule): The Client must designate exactly one (1) primary point of contact possessing absolute operational authority to submit requests, deliver assets, and issue final approvals. Muntu Studio LLC shall not be liable for project delays, execution errors, or conflicting variations resulting from feedback or requests submitted by alternative Client stakeholders, executives, or team members.
Meeting Allocation Limits:
Muntu Pass Subscribers: Your monthly pass includes exactly two (2) complimentary 30-minute strategy sessions per calendar month. Unused sessions do not roll over.
Custom One-Off Projects: Live consultations and syncs are strictly limited to the milestones predefined in the approved custom SOW/Quote.
Premium Airtime: Any additional live consulting, screen-sharing sessions, or video synchronization requested beyond these allocations must be booked independently and will be billed as a premium consulting fee at our current standard hourly rates ($150/hr), invoiced separately.
06. The "Pause" Mechanism (Applicable Strictly to Track B / Muntu Pass)
Muntu Studio’s subscription infrastructure operates strictly on a calendar month framework rather than a fixed rolling day count.
Freezing Unused Days: If a subscription Client runs out of active project tasks or experiences a roadmap slowdown prior to the end of a paid calendar month, the subscription may be paused to preserve capital.
Operational Execution: The subscription pause will legally take effect on the business day immediately following a formal, written pause request submitted by the Client via Slack or Trello. The remaining unutilized days of that current calendar month are instantly frozen and stored as an in-account credit.
Reactivation Parameters: The Client may reactivate their paused credit at any time to resume design and development workflows. Upon reactivation, the stored credit days will immediately apply to the active cycle. Custom One-Off Projects (Track A) are entirely ineligible for the Pause mechanism.
07. Project Stagnation, Dormancy & Material Sign-Off (Applicable Strictly to Track A)
Dormancy Parameters: For Custom One-Off Projects, the Client must provide timely feedback, assets, and approvals within five (5) business days of any request by Muntu Studio LLC. If a custom project remains stalled, inactive, or delayed by the Client for more than thirty (30) consecutive calendar days due to a lack of feedback, missing assets, or internal client delays, the project will be legally classified as "Dormant." Upon entering Dormancy, all work will cease, and Muntu Studio LLC will reallocate its design and engineering resources. To reactivate a Dormant project, the Client must submit a formal written request and pay a non-refundable Project Reactivation Fee equal to 15% of the total project value, in addition to clearing any outstanding balances.
Review & Material Acceptance Period: Upon formal submission of any major milestone or final project deliverable by Muntu Studio LLC, the Client shall have exactly five (5) business days (the "Review Period") to audit the work and submit a consolidated, clear, written punch-list of objective errors or deviations from the agreed specifications via Trello or Slack. If no written feedback or notice of material defect is received by Muntu Studio LLC within the five (5) business day window, the submitted Deliverables shall be deemed automatically, unconditionally, and irrevocably accepted by the Client, completing that operational phase.
08. Non-Solicitation of Talents (Anti-Poaching Clause)
Client recognizes and acknowledges that Muntu Studio LLC invests substantial time, capital, and training into developing and retaining its highly specialized creative staff, senior designers, and software developers.
Therefore, the Client explicitly agrees that during the term of this Agreement and for a period of twelve (12) months following the termination or cancellation of any service track, the Client shall not, directly or indirectly, solicit, recruit, hire, attempt to hire, or contract with any employee, independent contractor, or core designer of Muntu Studio LLC who was assigned to or performed work on the Client’s account.
Liquidated Damages: In the event of a breach of this non-solicitation provision, the Client shall pay Muntu Studio LLC, as liquidated damages and not as a penalty, a lump sum amount of $50,000 USD or 100% of the newly established annualized compensation of the solicited individual (whichever is greater), plus all reasonable attorney fees incurred by Muntu Studio LLC to enforce this clause.
09. Intellectual Property (IP) Transfer & Base Frameworks Exclusion
We operate under a transparent ownership model, heavily bound by payment performance:
The Condition Precedent: Every single design frame, UI component, style guide, asset package, prototype, and line of code executed inside Figma, Framer, Webflow, Shopify, or alternative platforms (collectively, the "Deliverables") is fully owned by Muntu Studio LLC until the moment of final financial clearance.
Transfer of Ownership: All intellectual property rights, titles, copyrights, and global ownership of the Deliverables are legally transferred to the Client ONLY upon full, verified, and cleared payment of the corresponding subscription invoices OR the final invoice of a custom one-off project.
Base Frameworks & Tooling Reservation: Notwithstanding full payment, Muntu Studio LLC explicitly retains exclusive global ownership over all pre-existing design systems, structural Wireframe kits, proprietary boilerplate code libraries, layout components, and internal engineering starter frameworks developed independently by the studio prior to or outside the scope of this Agreement (collectively, "Studio Base Tooling"). The Client is granted a perpetual, non-exclusive, royalty-free, non-transferable global license to utilize the Studio Base Tooling solely as an integrated, inseparable component of the finished Deliverables.
Consequences of Non-Payment: In the event of an invoice failure, payment dispute, chargeback, or non-payment, all rights, licenses, and ownership of the Deliverables immediately revert to the sole property of Muntu Studio LLC. Muntu Studio LLC reserves the explicit right to instantly halt production, revoke digital access keys, disable preview links, and remove proprietary code or theme files from the Client's active staging or hosting environments until the balance is paid in full.
Promotional Display License: Client grants Muntu Studio LLC an irrevocable, perpetual, royalty-free, worldwide license to showcase, display, and publish the delivered visual assets, website layouts, and case studies across our public portfolio, website, and promotional channels. Notwithstanding the foregoing, Muntu Studio LLC explicitly agrees to restrict such publication until the Deliverables have been made publicly accessible by the Client (e.g., website launch, public application release) or upon explicit written approval by the Client, to protect confidential pre-launch operations.
10. Service Scope Boundaries & Out-of-Scope Restrictions
To guarantee exceptional sharpness and speed, Muntu Studio focuses exclusively on its core zones of creative and development genius. The following disciplines are strictly out-of-scope and will be excluded from both custom projects and subscription queues unless explicitly agreed upon via a separate custom technical rider:
Heavy backend software programming (e.g., custom relational database architecture, raw Python/Node.js custom application engineering, native API development).
Advanced 3D modeling, environmental rendering, or complex WebGL/three.js scripting.
Long-form cinematic video editing, complex commercial motion design, or heavy special effects production.
Conceptual copywriting, high-stakes marketing content drafting, or technical SEO data keyword analysis.
Browser & Device Compatibility Limits: Deliverables, custom code integrations, and web deployments (Webflow, Shopify, Framer) are engineered and optimized exclusively for the two (2) most recent major commercial releases of mainstream internet browsers (Google Chrome, Apple Safari, Mozilla Firefox, and Microsoft Edge) operating on standard, modern desktop and mobile viewports. Optimization, bug-fixing, or custom styling for legacy browsers, obsolete operating systems, or niche/fringe mobile web views is strictly out-of-scope and will incur additional custom technical billing.
11. Third-Party Ecosystem & E-Commerce Platform Disclaimer
Muntu Studio builds, structures, and deploys digital experiences utilizing premier third-party visual development engines, hosting infrastructures, and communication networks, specifically Framer, Webflow, Shopify, Stripe, Trello, and Slack.
Client Account Responsibility: The Client bears sole financial and administrative responsibility for creating, maintaining, securing, and directly funding their own active subscriptions, administrative accounts, hosting fees, and domain portfolios with Framer, Webflow, Shopify, Stripe, or any related third-party vendor.
Absolute Platform & E-Commerce Exoneration: Muntu Studio LLC is an independent creative studio and maintains zero operational control over these third-party platforms. Muntu Studio LLC shall be held completely harmless and carries zero liability for any platform downtime, server outages, systemic bugs, breaking API changes, subscription terminations, security breaches, data losses, or e-commerce transactional failures (including but not limited to inventory calculation errors, checkout processing glitches, tax setup variances, or financial revenue losses) originating from or executed within Framer, Webflow, Shopify, Stripe, or any host provider.
12. Client Content, Third-Party Assets, & Font Licensing Warranties
The Client represents, warrants, and guarantees that all typography, fonts, photographic assets, copy, brand assets, logos, and market data supplied to Muntu Studio LLC for integration into the Deliverables are fully owned by the Client, or that the Client has secured robust, legally binding licenses and permissions to deploy them commercially.
Furthermore, the Client acknowledges that any third-party fonts, stock photography, specialized code libraries, or premium plugins selected by Muntu Studio LLC for the deployment of the Deliverables may require independent commercial user licensing. The Client assumes 100% sole financial and legal responsibility for purchasing, maintaining, and legally registering the appropriate commercial end-user licenses for any such fonts or assets prior to any public or commercial use of the Deliverables. Client agrees to indemnify, defend, and hold completely harmless Muntu Studio LLC, its officers, and agents from and against any and all claims, financial damages, regulatory liabilities, or legal expenses (including attorney fees) arising directly out of any third-party intellectual property infringement claims regarding the materials provided by the Client.
13. AI-Assisted Tooling & Generative Assets Disclosure
Muntu Studio LLC reserves the operational right to employ cutting-edge engineering toolchains and artificial intelligence components (e.g., automated coding environments, generation engines, and AI-assisted design filters) to enhance production efficiency, structure layout frameworks, or optimize code architectures. Muntu Studio LLC makes no express intellectual property warranties regarding the absolute patentability or copyright isolation of raw AI-generated assets, and the Client assumes ultimate legal review authority before scaling such assets globally.
14. SEO, Indexing, & Digital Migration Disclaimer
Muntu Studio LLC engineers digital products using industry-standard visual development systems. However, the Company carries absolutely zero responsibility or liability for the Client’s organic search engine visibility, keyword rankings, SEO performance, Google indexing velocity, or traffic metrics. In the event of site migrations (e.g., migrating from Framer to Webflow or structural database updates), Muntu Studio LLC shall not be held liable for temporary or permanent drops in organic traffic, indexing anomalies, or broken legacy URLs, except for executing standard 301 redirect mappings explicitly defined in the project scope.
15. Digital Accessibility & WCAG/ADA Disclaimer
Muntu Studio LLC incorporates clean, high-standard structural formatting patterns and semantic web structures. However, achieving absolute technical compliance with national or international digital accessibility legislations—including the Americans with Disabilities Act (ADA), Web Content Accessibility Guidelines (WCAG), or regional accessibility standards—requires ongoing client testing, dedicated post-handoff accessibility audits, and specialized configuration. Muntu Studio LLC does not guarantee absolute, uninterrupted regulatory immunity from digital accessibility lawsuits and carries zero liability for any accessibility compliance claims originating from the design architectures.
16. Production Credentials & Account Security Protocols
To execute installations, theme updates, or custom deployments, the Client may provide Muntu Studio LLC with administrative credentials or API tokens for their production instances (e.g., Shopify backend, Webflow workspace, Domain DNS zones).
Handoff Revocation Duty: Immediately upon the conclusion of a project milestone, delivery handoff, or subscription cancellation, the Client bears the absolute, non-delegable duty to revoke all active access keys, delete studio administrative user profiles, and update internal system passwords.
Security Exoneration: Muntu Studio LLC shall be held completely harmless for any unauthorized access breaches, database exposures, or cyber-security incidents occurring on the Client’s systems subsequent to the handoff window.
17. Post-Handoff Limited Bug Warranty (Track A)
For Custom Projects, Muntu Studio LLC provides a limited fourteen (14) calendar-day warranty window starting immediately upon formal project delivery or website launch. This warranty strictly covers the remediation of objective technical defects, broken links, or layout misalignments directly deviating from the approved project specifications. This limited warranty is instantly rendered null and void if the Client, their internal employees, or any third-party external contractors make any adjustments, script injections, style modifications, or structural changes to the Webflow, Shopify, or Framer environments during or after the warranty window. Following the expiration of the 14-day window, all updates, maintenance, and bug-fixing requests will be billed as out-of-scope work or require an active Muntu Pass.
18. Disclaimer of Warranties & Limitation of Liability
THE SERVICES AND DELIVERABLES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY GLOBAL LAW, MUNTU STUDIO LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT WILL MUNTU STUDIO LLC, ITS PRINCIPALS, OR EMPLOYEES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES—INCLUDING LOST PROFIT, REVENUE DEGRADATION, LOSS OF DATA, OR OPERATIONAL DOWNTIME—ARISING FROM YOUR ACCESS TO THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR CUMULATIVE FINANCIAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE LEGAL ACTION, WILL AT ALL TIMES BE STRICTLY CAPPED AND LIMITED TO THE EXACT AMOUNT PAID, IF ANY, BY YOU TO MUNTU STUDIO LLC DURING THE ONE (1) MONTH PERIOD PRIOR TO THE ARISE OF THE CLAIM.
19. Statute of Limitations for Legal Claims
The Client explicitly agrees that regardless of any local or national statutory provisions to the contrary, any legal action, claim, or arbitration proceeding initiated by the Client against Muntu Studio LLC, its officers, or core assets arising out of or relating to this Agreement must be formally filed within one (1) calendar year after the cause of action accrued. Failure to file a claim within this strict one-year limitation window constitutes an absolute, irrevocable, and permanent waiver of the right to seek legal remedy for said event.
20. Governing Law & Jurisdiction
These Terms of Service, along with the operational execution of our Services, are governed by and construed in strict accordance with the laws of the State of New Mexico, without regard to its conflict of law principles. Any legal action, dispute resolution, or formal proceeding arising under this Agreement shall be brought exclusively before the state or federal courts located in the State of New Mexico, and both parties hereby consent to personal jurisdiction and venue therein.
21. Severability & Entire Agreement
This Agreement, together with any approved SOW or Quote, constitutes the entire agreement between the Client and Muntu Studio LLC regarding the Services and supersedes all prior or contemporaneous communications, written or oral. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable by a court of competent jurisdiction, that specific provision or part-provision shall be deemed severable from this Agreement and shall not affect the validity, legality, and enforceability of any of the remaining provisions, which shall remain in full force and effect.
22. Right to Subcontract
Muntu Studio LLC reserves the absolute operational right to engage, utilize, and manage trusted third-party independent contractors, senior design specialists, and external technical engineers (collectively, "Subcontractors") to assist in the execution, rendering, or delivery of any portion of the Services. Muntu Studio LLC remains fully responsible for the quality, professional execution, and ultimate oversight of the Deliverables, ensuring that all assigned Subcontractors remain bound by strict corporate confidentiality parameters identical to those enforced within this Agreement.
23. Force Majeure & Infrastructure Interruptions
Muntu Studio LLC shall be held completely harmless and exempt from any financial or operational liability for delays, failures, or missed targeted delivery timelines resulting from events beyond its reasonable control. This includes, but is not limited to, acts of God, governmental restrictions, regional grid power failures, localized internet telecommunication infrastructure blackouts, critical submarine network cable cuts, cyber-warfare, or severe, widespread technical outages originating from primary hosting vendors (e.g., AWS, Cloudflare, Webflow, Framer, or Shopify servers).
24. Professional Conduct & Anti-Abuse Termination
Muntu Studio LLC maintains a strict, zero-tolerance workspace policy regarding professional courtesy, communication ethics, and mutual corporate respect.
Immediate Termination for Cause: Muntu Studio LLC reserves the right to instantly terminate any Custom Project or cancel any active Subscription Pass, without a refund or notice, if the Client or their representatives engage in verbal abuse, explicit insults, continuous profane language, direct threats, hostaging dynamics, or targeted harassment directed at the studio’s designers, account leads, or management staff.
IP Forfeiture upon Abuse: Upon an immediate termination executed under this anti-abuse provision, all rights and licenses to pending or unsubmitted Deliverables are instantly revoked, and the Client remains fully liable for any outstanding operational balance up to the hour of termination.
